Our nomination committee consists of four independent members serving two-year terms. The main purpose of the nomination committee is to recommend shareholder-elected candidates for our board of directors and nomination committee to the our annual general meeting.
Candidates are selected considering the competence, experience, capacity and diversity of each individual and the group in total. At the annual meeting, the nomination committee also proposes directors' remuneration at the annual meeting, reflecting the responsibility, competence, time and complexity of the work involved. The remuneration is a fixed amount that does not depend on results or involve options.
Otto Søberg has since 2016 been CEO of Eksportkreditt Norge AS, and was previously President of Wood Group Mustang Norway AS (2014-2016), CEO of Agility Group AS (2010-2014), Head of Division Oil, Gas & Marine, Siemens AG (2008-2010) in additional to a number of other management positions within export-oriented industry, including President of Kværner Oil & Gas Field Development (1999-2002) and CEO of Aker Yards ASA (1997-1999).
Søberg holds a Master of Science econ. from Copenhagen Business School. He is independent of Yara’s board and executive management.
Thorunn Kathrine Bakke is Director at the Ownership Department of the Norwegian Ministry of Trade, Industry and Fisheries.
Bakke has previously worked as senior adviser at the Norwegian Ministry of Transport and Communications (2005-2007) and a business lawyer at the law firms Steenstrup Stordrange, Selmer DA and Kvale & Co.
Bakke holds a law degree from the University of Oslo. She is independent of Yara’s board and executive management.
Ann Kristin Brautaset is Deputy Director Equities at Folketrygdfondet, manager of the Government Pension Fund of Norway.
Brautaset has previously worked as a Portfolio Manager at The Government Pension Fund Norway (1998-2014), Financial analyst at DNB Fonds (1990-1998), and as an account officer at DNC (Corporate Finance).
Brautaset holds an MBA degree from the Norwegian School of Economics in Bergen. She is independent of Yara’s board and executive management.
Ottar Ertzeid has since 2003 been Group Executive Vice President DNB Markets. He has previously held various positions within the FX/Treasury area at DNB. Ertzeid has previously been CFO of DNB Boligkreditt and head of finance at Realkreditt.
He is chair of the board of the Norwegian Banks' Guarantee Fund, vice-chair of the board of the Norwegian Investor Compensation Scheme and a board member of Oslo Børs VPS Holding and Oslo Børs AS. He is independent of Yara’s board and executive management.
